Start with the scope

Two proposals are only comparable when they cover the same scope. Before looking at the price, confirm which services are included, at which sites, during which hours and how often. Whatever is not written down usually becomes a contract amendment.

Service levels and indicators

The SLA turns expectations into a measurable commitment. Define response and resolution times by priority, how they are measured and what happens in case of non-compliance. Indicators without an agreed measurement method lead to arguments instead of management.

Operational governance

  • Who manages the contract on each side and how decisions are escalated.
  • Frequency of follow-up meetings.
  • Format and deadline for performance reports.
  • A single channel for logging and tracking work orders.

Team, mobilization and qualifications

Check how the team will be sized, which qualifications are required for each role, how training will be provided and the mobilization timeline. For regulated activities, such as work on electrical installations or at height, confirm the applicable occupational safety requirements.

Labor liability and compliance

In Brazil, Law No. 6,019/1974, as amended by Law No. 13,429/2017 and Law No. 13,467/2017, provides that the contracting company is secondarily liable for labor obligations relating to the period in which the services are provided. It is therefore advisable for the contract to require periodic proof of the supplier's compliance, such as tax and social security payments and payroll, and to monitor this documentation throughout the contract term.

Measurement, price adjustment and termination

  • How the service is measured and invoiced.
  • Price adjustment criteria and base date.
  • Rules for adding and removing scope.
  • Transition procedure at the end of the contract, to avoid losing history and operational knowledge.

Informational content, not a legal opinion. Contract clauses should be reviewed by the contracting company's legal counsel.

Frequently asked questions

Is the lowest price a good selection criterion?

Only when the scopes, service levels and staffing requirements are equivalent. Very different prices usually indicate different scopes.

Does outsourcing facilities mean losing control of the operation?

No, as long as the contract provides for governance, indicators and reports. Management becomes based on measured results rather than on direct supervision of each task.
